Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Reflip ("Reflip", "we", "us", or "our"), operated by Bynotech LLC. They govern your access to and use of the Reflip website, application, and related services (together, the "Service").

By creating an account, subscribing, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

PLEASE READ SECTIONS 7 (THIRD-PARTY MARKETPLACES & AUTOMATION), 14 (DISCLAIMERS), 15 (LIMITATION OF LIABILITY), AND 19 (DISPUTE RESOLUTION & ARBITRATION) CAREFULLY — THEY LIMIT OUR LIABILITY AND AFFECT YOUR LEGAL RIGHTS, INCLUDING HOW DISPUTES ARE RESOLVED.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. By using the Service, you represent that you meet these requirements and that all information you provide is accurate.

You are responsible for ensuring that your use of the Service is lawful in your jurisdiction and that you have the right to sell the items you list through the Service.

2. The Service

Reflip is a reselling productivity tool. It helps you create listings (including with AI assistance), organize inventory, crosslist items across multiple online marketplaces, apply pricing and shipping rules, and — where you enable it — automate routine actions such as sharing, relisting, sending offers, and following.

The Service is a tool that acts at your direction and on your behalf. Reflip is not a marketplace, a party to any sale, a payment processor for your sales, a broker, or your employer or agent for any purpose other than performing the actions you configure.

We may add, change, or remove features at any time. Marketplaces and third-party services change frequently and outside our control; features that depend on them may break, be delayed, or become unavailable, and we do not guarantee continued compatibility with any marketplace.

3. Accounts & Security

You must create an account to use the Service. You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us immediately of any unauthorized use.

You agree to provide accurate account information and to keep it up to date. We may suspend or terminate accounts that contain false information or that are used in violation of these Terms.

4. Subscriptions, Pricing & Billing

The Service is offered as a single all-inclusive subscription plan. The introductory price is $24.99 (USD) for your first month. After the first month, the subscription automatically renews and bills at the then-current standard rate, which is $34.99 (USD) per month as of the date of these Terms.

FREE TRIAL — PAYMENT METHOD REQUIRED; AUTOMATIC CONVERSION TO A PAID SUBSCRIPTION. New subscribers may begin with a seven (7) day free trial. A valid payment method is REQUIRED to start the trial. You will NOT be charged during the trial period. UNLESS YOU CANCEL BEFORE THE TRIAL ENDS, YOUR TRIAL WILL AUTOMATICALLY CONVERT TO A PAID SUBSCRIPTION AND YOUR PAYMENT METHOD WILL AUTOMATICALLY BE CHARGED $24.99 (USD) FOR YOUR FIRST MONTH ON THE SEVENTH (7th) DAY, AND $34.99 (USD) PER MONTH AUTOMATICALLY EACH MONTH THEREAFTER UNTIL YOU CANCEL. The trial is limited to one per person and per account and is available to new subscribers only. You may cancel at any time before the end of the trial from the Subscription page in your account, in which case you will not be charged.

AUTO-RENEWAL. Your subscription renews automatically at the end of each billing period and your payment method is charged the applicable recurring price until you cancel. By subscribing or starting a free trial, you authorize us and our payment processor to charge your payment method on a recurring basis.

HOW TO CANCEL. You may cancel at any time from the Subscription page in your account. Cancellation takes effect at the end of the period you have already paid for, and you retain access until then. Cancelling during the free trial stops the trial from converting and you will not be charged.

PRICE CHANGES. Our prices are subject to change. The introductory price applies to your first month only. We may increase or otherwise change the recurring subscription price, introductory offers, and features at any time. For an increase to the recurring price you already pay, we will provide advance notice (for example, by email and/or in-app) before it takes effect, and the new price will apply to your next billing period after the notice. If you do not agree to a price change, you may cancel before it takes effect; continuing to use the Service after a price change takes effect constitutes acceptance of the new price.

PAYMENT. Payments are processed by our third-party payment processor, Square, Inc. You agree to Square's applicable terms, and you represent that you are authorized to use the payment method you provide. If a charge fails, we may retry, suspend your access, or terminate your subscription. Prices are exclusive of any applicable taxes, which you are responsible for.

PROMOTIONS. Introductory, promotional, or discounted pricing is available to new subscribers only unless we state otherwise, is limited to one per person/account, and may be modified or withdrawn at any time.

5. Cancellation & Refunds

You may cancel your subscription at any time from your account settings or by contacting us. Cancellation stops future renewals; it takes effect at the end of your current billing period, and you retain access until then.

Except where required by applicable law, payments are non-refundable and we do not provide refunds or credits for partial billing periods, unused time, or features you did not use. Charges already billed (including the introductory first-month charge) are non-refundable once the billing period has begun.

6. Third-Party Marketplaces & Automation — Important Risk Disclosure

The Service interacts with third-party marketplaces (such as eBay, Poshmark, Mercari, Depop, Etsy, Whatnot, Facebook Marketplace, Grailed, Vinted, Vestiaire Collective, Kidizen, Shopify, and others). Each marketplace is independent, is not affiliated with or endorsed by Reflip, and has its own terms of service, rules, and policies that govern your account there.

YOU ARE SOLELY RESPONSIBLE for complying with each marketplace's terms and policies. Some marketplaces restrict, discourage, or prohibit automated activity, bulk actions, third-party tools, or automated access to your account. Using automation or crosslisting features MAY VIOLATE a marketplace's terms and MAY RESULT IN warnings, throttling, listing removal, restrictions, suspension, or permanent banning of your marketplace account(s).

YOU ASSUME ALL RISK arising from your use of crosslisting and automation, including the risk of losing access to your marketplace accounts, listings, followers, ratings, sales, or funds. Reflip provides optional safety controls (such as activity limits, pacing, and quiet hours) to reduce this risk, but WE DO NOT AND CANNOT GUARANTEE that your marketplace accounts will not be flagged, restricted, or banned.

You authorize Reflip to perform the listing, crosslisting, delisting, messaging, offer, follow, and similar actions that you configure or initiate, using the access, credentials, or sessions you provide or connect. You may disable automation or disconnect any marketplace at any time.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REFLIP IS NOT LIABLE for any marketplace's actions or inactions, including account suspensions or bans, listing removals, fee changes, policy changes, downtime, delisting, lost sales, or lost funds, whether or not related to your use of the Service.

7. Your Content & License

You retain ownership of the photos, titles, descriptions, prices, and other content you submit ("Your Content"). You represent that you have all rights necessary to submit Your Content and to have it published to the marketplaces you select, and that Your Content does not infringe any third party's rights or violate any law.

You grant Reflip a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (e.g., resize/format), process, transmit, and display Your Content solely as needed to operate and provide the Service to you, including sending it to third-party AI providers and to the marketplaces you choose.

8. AI-Generated Content

The Service can generate suggested listing content (titles, descriptions, hashtags, item specifics, categories, sizes, prices, and similar) using artificial intelligence and third-party AI providers. AI output may be inaccurate, incomplete, non-compliant with a marketplace's requirements, or otherwise unsuitable.

AI-generated content is provided as a starting point only. YOU ARE RESPONSIBLE for reviewing, correcting, and approving all listing content before it is published, and for ensuring it is accurate, lawful, and compliant with each marketplace's rules. Reflip is not responsible for AI-generated content or for listings you publish.

9. Marketplace Credentials & Authorization

To use certain features, you may connect your marketplace accounts or provide authorization (for example, via a marketplace's official authorization flow or by connecting a session). By doing so, you authorize Reflip to access those accounts and act on your behalf to perform the actions you configure.

We take reasonable measures to protect credentials and authorization tokens, but no method of transmission or storage is completely secure, and we cannot guarantee absolute security. You are responsible for revoking access and disconnecting accounts you no longer wish to authorize.

10. Acceptable Use

You agree not to: use the Service for any unlawful, infringing, fraudulent, or deceptive purpose; list prohibited, counterfeit, stolen, or restricted items; violate any marketplace's or third party's terms or rights; interfere with, overload, or attempt to gain unauthorized access to the Service or its systems; reverse engineer, scrape, or resell the Service except as permitted; or use the Service to harass others or transmit malware.

We may investigate and take action, including suspending or terminating your account, for any violation of these Terms or misuse of the Service.

11. Third-Party Services

The Service relies on third-party services, including AI providers, our payment processor, hosting and infrastructure providers, and the marketplaces. Your use of those services may be subject to their own terms and privacy policies. We are not responsible for third-party services, and their availability or terms may change.

12. Intellectual Property

The Service, including its software, design, text, graphics, and trademarks (excluding Your Content and third-party content), is owned by Reflip and its licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for its intended purpose while your subscription is active. You may not copy, modify, distribute, or create derivative works of the Service except as expressly permitted.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR COMPATIBLE WITH ANY MARKETPLACE, OR THAT LISTINGS, CROSSLISTS, OR AUTOMATED ACTIONS WILL BE SUCCESSFUL, TIMELY, OR ACCEPTED.

NO EARNINGS GUARANTEE. Reflip is a tool and does not guarantee any sales, revenue, profit, listing visibility, or results. Any examples or projections are illustrative only. Your results depend on many factors outside our control.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REFLIP AND ITS OWNERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, SALES, DATA, GOODWILL, OR MARKETPLACE ACCOUNTS, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US $50. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

15. Indemnification

You agree to indemnify, defend, and hold harmless Reflip and its owners, employees, and suppliers from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from or related to: Your Content; your listings and sales; your use of the Service; your violation of these Terms, any law, or any marketplace's or third party's terms or rights.

16. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access to the Service at any time, with or without notice, including for violation of these Terms, non-payment, or risk to the Service or others.

Upon termination, your right to use the Service ends. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.

17. Changes to the Service and These Terms

We may modify these Terms at any time. If we make material changes, we will provide notice (for example, by email and/or in-app or by updating the "Last updated" date). Changes take effect when posted unless stated otherwise. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

18. Governing Law; Dispute Resolution & Arbitration

These Terms are governed by the laws of the State of Wisconsin, without regard to its conflict-of-laws rules.

PLEASE READ THIS SECTION CAREFULLY. Except for claims that qualify for small-claims court or for injunctive relief regarding intellectual property, you and Reflip agree to resolve any dispute arising from or related to these Terms or the Service through final and binding individual arbitration, rather than in court, administered by the American Arbitration Association (AAA) under its rules, in Outagamie County, Wisconsin or by videoconference.

CLASS ACTION WAIVER. You and Reflip agree that disputes will be brought only in an individual capacity, and not as a plaintiff or class member in any class, collective, or representative proceeding. If this class-action waiver is found unenforceable, then the entire arbitration agreement in this section will be void.

You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending written notice to support@refliper.com with your name, account email, and a statement that you opt out of arbitration.

19. Miscellaneous

These Terms, together with the Privacy Policy, are the entire agreement between you and Reflip regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates any agency, partnership, or joint venture between you and Reflip.
